Referral Program Terms & Conditions

These Terms and Conditions ("Terms") govern the SereneHost Referral Program ("Program"). By participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, you may not participate.
1. Eligibility
1.1 The Program is open to:
- Existing SereneHost clients ("Client‑Referrers"); and
- Professionals and members of the public who are not existing clients ("Public‑Referrers"), including but not limited to real estate agents, mortgage brokers, lawyers, and anyone with an interest in referring potential clients.
1.2 You must be at least 18 years of age and have legal capacity to enter into this agreement.
1.3 SereneHost reserves the right to refuse or remove any participant from the Program at its sole discretion.
2. How the Program Works
2.1 Upon signing up via the referral form, you will receive a unique referral link (the "Referral Link"). The Referral Link may contain a unique identifier or code that tracks referrals back to you.
2.2 You may share your Referral Link with any person who may be interested in SereneHost's short‑term rental management services ("Potential Client").
2.3 When a Potential Client clicks your Referral Link and subsequently signs up for SereneHost services, that property becomes a "Referred Property."
3. Personal Knowledge Requirement
3.1 You must know the Potential Client personally. Cold outreach to strangers or purchased lead lists is not permitted.
3.2 During the signup process, the Potential Client (now "Referee") must be able to identify you (the "Referrer") by name. SereneHost will verify this identity confirmation before the referral is considered valid.
3.3 The Referrer is expected to actively follow up with both the Referee and SereneHost to facilitate a smooth onboarding process. Your cooperation is essential, and the high commission rate reflects this expected involvement.
4. Commission Structure
4.1 For each Referred Property, you are entitled to a commission equal to 25% of the Monthly Co‑host Fee for the first 12 consecutive months of active management ("First Year").
4.2 After the First Year, the commission rate reduces to 10% of the Monthly Co‑host Fee for as long as the property remains under active management with SereneHost ("Lifetime Commission").
4.3 Commission is earned only after the Referred Property has been managed by SereneHost for a minimum of 3 consecutive months ("Qualifying Period"). If the property is terminated before completing 3 months, no commission is due.
4.4 For Client‑Referrers, commissions will be applied as credits against their own co‑host fees. For Public‑Referrers, commissions will be paid out via electronic transfer (e‑transfer) or other mutually agreed method.
5. Payout Schedule
5.1 Commissions are calculated and paid out quarterly, within 30 days following the end of each calendar quarter (i.e., March 31, June 30, September 30, December 31).
5.2 Public‑Referrers will receive an email notification when a payout is issued. Payouts will be sent to the email address on file or to a designated bank account via e‑transfer.
5.3 Client‑Referrers will see commissions reflected as credits on their monthly co‑host fee invoices starting the month after the quarter ends.
5.4 There is no minimum payout threshold. Accumulated commissions will be paid regardless of amount.
6. Record Keeping and Transparency
6.1 SereneHost will maintain accurate records of all referrals, Qualifying Period completions, and commission calculations.
6.2 Upon reasonable request, we will provide you with a statement showing the Gross Revenue, Co‑host Fee, and commission earned for each Referred Property.
6.3 It is your responsibility to ensure your contact information (email, phone) is up to date. SereneHost is not liable for failed communications due to outdated contact details.
7. Prohibited Conduct
7.1 You may not:
- Submit false or misleading information about SereneHost services;
- Use spam, deceptive, or unethical marketing practices to promote your Referral Link;
- Offer incentives to Potential Clients that are not authorized by SereneHost;
- Attempt to manipulate or tamper with the referral tracking system;
- Refer yourself or your own affiliated properties (self‑referrals are prohibited);
- Use automated bots or scripts to generate clicks or sign‑ups.
7.2 Any attempt to defraud or abuse the Program will result in immediate disqualification, forfeiture of all unpaid commissions, and possible legal action.
8. Modification and Termination
8.1 SereneHost reserves the right to modify or terminate the Program, or these Terms, at any time with or without cause. Changes will be effective upon posting at serenehost.ca/referralTC.html. Your continued participation after such modifications constitutes acceptance of the new Terms.
8.2 Either party may terminate your participation immediately upon written notice if the other party breaches any material term of these Terms.
8.3 Upon termination, you will cease using your Referral Link. Commissions earned prior to termination remain payable subject to the terms herein.
8.4 SereneHost reserves the right to make the final interpretation of these Terms and the Program rules.
9. Tax Responsibility
9.1 Commissions are considered income. You are solely responsible for declaring and paying any applicable taxes on commission earnings in your jurisdiction.
10. Intellectual Property and Branding
10.1 You may use SereneHost logos and marketing materials only as provided by us and in accordance with our brand guidelines.
10.2 You may not represent yourself as an employee, agent, or legal representative of SereneHost unless expressly authorized. You are an independent contractor.
11. No Guarantee of Earnings
11.1 SereneHost does not guarantee that you will earn any commissions. Earnings vary based on the success of your referrals and are not passive or assured.
11.2 Any examples provided are estimates only and not a promise of actual earnings.
12. Limitation of Liability
12.1 To the fullest extent permitted by law, SereneHost shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your participation in the Program.
12.2 Our total liability to you under these Terms shall not exceed the total commissions paid to you in the preceding 12 months.
